Item 4: Directors Fees

The nomination committee has proposed to award an increase in fees for the Board of Directors. The Company has not provided a thorough and convincing rationale for the excessive increases. On this basis Folketrygdfondet voted against the Directors’ Fees.

Item 8.01: Authority to Issue Shares w/ or w/o Preemptive Rights

Folketrygdfondet opposes the general authority for issuance of shares as a matter of principle. The purpose of the authorization is not tied to a specific purpose and the size of the authorization is excessive. On this basis, Folketrygdfondet voted against the authorization.
